Quant Alpha LLC – Terms of Use

Please read these Terms of Use (“Terms”) carefully before using the Quant Alpha website or any related services.
These Terms of Use constitute a legal agreement between you (the user of our site and services) and Quant Alpha LLC (“Quant Alpha,” “we,” “us,” or “our”), governing your access to and use of the Quant Alpha website (quantalpha.net) and our online investment advisory platform (collectively, the “Site” or “Services”). By accessing or using our Site, you agree to be bound by these Terms and all other terms or policies referenced herein (such as our Privacy Policy and Disclosures). If you do not agree with any of these terms, you must not use our Site or Services.
For clients who enroll in our investment advisory services, additional terms and conditions are outlined in your Investment Advisory Agreement (for example, terms related to our discretionary management of your account, fees, and other client-specific provisions). These Terms of Use complement that agreement for all website-related usage. In the event of any direct conflict between these general Terms and the specific Investment Advisory Agreement signed by a client, the terms of the Investment Advisory Agreement will prevail for the advisory relationship. However, if you are simply browsing or using the public portions of our Site, these Terms of Use apply in full.
1. Acceptance of Terms
By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (which describes how we collect and use your data) and our Disclosures (which provide important information about our services, risks, and regulatory status). If you do not agree to these Terms or any related policies, please do not use the Site.
These Terms apply to all visitors, users, and others who access the Site or Service (“Users”). You agree that you are entering into these Terms of your own free will and not based on any other representations other than those contained herein. If you are using the Site on behalf of an organization (for example, you are evaluating our services for your company or you are an administrator setting up accounts for multiple users), you represent and warrant that you have the authority to bind that organization to these Terms, and “you” in these Terms refers to both you as an individual and that organization.
2. Eligibility
Legal Age and Capacity: You must be at least 18 years old (or the legal age of majority in your jurisdiction) and capable of forming a binding contract to use our Services. By agreeing to these Terms, you affirm that you are of legal age and have the capacity to enter into this agreement. If you are using the Site on behalf of an entity, you further affirm that the entity is validly formed and existing, and that you are authorized to act on its behalf.
Location: Our Services are intended for individuals in jurisdictions where we offer services (primarily the United States). By using the Site, you represent that you reside in a jurisdiction where Quant Alpha is authorized to provide investment advisory services. We explicitly do not offer our advisory services in all jurisdictions, and our Site is not intended to solicit users from regions where we are not registered or exempt from registration. (See our Disclosures for more detail on jurisdictional limitations.) If you access the Site from outside permitted areas, you do so at your own risk, and you are responsible for compliance with any local laws.
Suitable Investor Profile: The content and Services on this Site are intended for those with an interest in Nasdaq-100 index investing and who understand the associated risks (including market and leverage risks). While we do not impose specific financial suitability criteria for browsing the Site, enrollment as a client may be subject to certain suitability or account requirements, such as having an appropriate brokerage account and funding it with the minimum required capital. We reserve the right to decline to provide our Services to any person for any lawful reason (for example, if we determine our strategies are not appropriate for your situation or if providing advice to you would violate any laws).
3. Account Registration & Security
Account Creation: To use our interactive advisory platform or access certain features, you will need to create a user account on our Site. This involves providing a valid email address, creating a password, and possibly additional information (e.g., your name, etc.). You agree to provide accurate, current, and complete information during registration and to update such information as needed so it remains accurate and complete.
Account Credentials: You are responsible for maintaining the confidentiality of your account login credentials. You must not share your password or account access with any unauthorized person. You agree to notify us immediately at support@quantalpha.com if you suspect any unauthorized access to or use of your account or password, or any other breach of security. Quant Alpha will not be liable for any loss or damage arising from your failure to safeguard your credentials or comply with this section.
Account Use: You are responsible for all activities that occur under your account (whether or not you authorized them). We urge you to use a strong password and enable any additional security features we may offer (like two-factor authentication, if available) to protect your account. You agree not to use another user’s account without permission.
One Account Per User: You agree not to create multiple accounts for yourself or fake accounts for others. Each individual or entity is generally limited to a single account unless explicitly authorized by us (e.g., if you manage separate portfolios for different purposes, contact us to discuss account structure rather than opening duplicates). We reserve the right to suspend or delete accounts that we suspect are duplicative or fraudulent.
4. Online Advisory Services
Quant Alpha provides its investment advisory services primarily through an automated, online platform. All investment advice is rendered via our interactive website interface or related digital applications, in accordance with SEC’s internet adviser rules. Below are terms related to the services we provide on the Site:
Advisory Relationship: Merely visiting our Site or using our tools does not by itself establish an investment advisory relationship. An advisory relationship with Quant Alpha is established only after you have completed the sign-up process, provided the necessary information, and agreed to the Investment Advisory Agreement. Until that point, any information on the Site should be considered educational or promotional in nature, and not personal investment advice to you. Once you become a client, the advice provided through the platform is personalized based on the information you provided (such as your risk profile) and constitutes our investment advice to you.
Interactive Website Platform: Our platform will guide you through providing information (like answering a risk tolerance questionnaire or selecting a strategy). Based on this, it will present you with an investment recommendation or allocate your portfolio accordingly. The advice/recommendations are generated by our software algorithm, not individually tailored by a human advisor outside of the system. You acknowledge that this is a digital advisory service, and that the algorithm uses the inputs you provide. If you provide incomplete or inaccurate information, the advice may not be suitable for your actual situation – thus, providing accurate data and periodically updating it is your responsibility (as noted in the Disclosures and in Section 2 above).
No Offline Advice: In line with our business model and regulatory status, you agree that all investment advice and direction will be provided through the Site. Any consultation outside the platform (via phone or email) will be limited to technical support or clarifications and will not include new or separate investment recommendations. We cannot and do not provide individualized advice in person or through traditional means; by using an internet-only advisor, you accept that human interaction regarding your portfolio will be minimal and primarily through digital communications. This doesn’t mean we are unresponsive – our support team can answer questions about how the service works – but they cannot tell you “invest in X or Y” outside of what the platform already suggests.
Investment Implementation: For clients who have signed up, you authorize Quant Alpha to implement transactions in your linked brokerage account pursuant to the algorithm’s decisions (if you have given discretionary trading authorization per your Advisory Agreement). Transactions will typically be executed automatically by our system via API integration with IB. If you are on a model where you manually execute trades based on our recommendations (less likely, but if offered), then you are responsible for timely execution of the recommended trades. In either case, you should monitor communications from the platform, which may include notifications of trades executed or recommendations to rebalance.
No Guaranteed Results: All investments recommended or executed through our Site are subject to market risk and may result in losses. Quant Alpha makes no guarantee that the objectives of any strategy will be met or that any investment will be profitable. Any expected returns or probabilities displayed on the platform (if any) are hypothetical and for informational purposes. You agree that you understand the risk disclosures provided (see Disclosures page and in-platform notices) and that Quant Alpha will not be liable for loss of investment value, except as provided by law (see Limitation of Liability below).
Client Instructions and Restrictions: If you have any specific investment restrictions (e.g., “do not buy XYZ stock” or “cap my leverage at a certain level”), our platform may allow you to input those if they are within the scope of what we accommodate. However, given our standardized strategies, there may be limited ability to customize beyond selecting a strategy. Any restrictions or custom instructions must be agreed upon in writing by us and confirmed within the platform. Absent such agreement, the algorithm will manage your account uniformly according to the chosen strategy.
Market Data and Information: In the course of using the Site, you may see market quotes, news, research, or other financial information. Any such content is provided by third-party sources or through the algorithm’s output and is provided for convenience and informational purposes only. While we strive for accuracy, we do not guarantee that any market data or news is accurate, complete, or timely. For example, stock or index values shown on your dashboard might be delayed or sourced from third-party feeds that could have errors. You should verify critical information through official channels if needed (e.g., check an official exchange or news source). We are not liable for decisions you make based on information from third-party data on our Site.
5. Fees and Payments
Advisory Fees: If you become a client receiving our investment advisory services, you agree to pay the advisory fees as set forth in your Investment Advisory Agreement and/or our Form ADV disclosure brochure. Our typical fee is asset-based and will be billed or deducted from your brokerage account as described in those documents. The Site may display your current fee rate and any invoices or billing history for transparency.
Payment Method: We generally deduct fees directly from your custodial account at Interactive Brokers (with your authorization). By signing up for our service, you provide the necessary authorization for IB to pay our advisory fees from your account. If, for any reason, fee deduction is not possible (for instance, if account assets are below the minimum required to deduct), you agree to promptly pay the amount due via an alternative method that we arrange (such as ACH transfer or credit card if we support that).
Failure to Pay: If advisory fees are not paid when due (e.g., if there are insufficient funds in your account and you do not make timely alternate payment), Quant Alpha reserves the right to suspend your advisory services or terminate the advisory relationship, as per the Advisory Agreement. That could mean we stop managing your account (potentially leaving it unadjusted). We will provide notice and an opportunity to cure any payment shortfall before taking such action.
Changes to Fees: We will not change the fee rate for existing clients without proper notice and consent as required. However, we reserve the right to change our fee structure for new clients or new services. If we introduce new premium features or add-ons that carry additional fees, we will clearly explain those and they will be optional. Any changes to fees will be communicated in advance, and no hidden charges will be applied.
Other Costs: As explained in our Disclosures, using our service will incur third-party fees (brokerage commissions, etc.) which are separate from our advisory fee. Those are charged by IB or the fund providers and we do not receive them. Those costs will be borne by you. These Terms reiterate that Quant Alpha’s fee covers only the advisory service, and all other costs (trading fees, taxes, etc.) are your responsibility.
6. User Conduct and Prohibited Uses
We strive to maintain a respectful and lawful community on our Site. By using the Site, you agree NOT to engage in any of the following activities:

Illegal Activities: You will not use the Site in any manner that violates any applicable laws or regulations. This includes not using the platform to launder money, fund illegal ventures, or engage in insider trading or any fraudulent schemes.

Interference and Hacking: You will not attempt to interfere with the operation of the Site or Service. This means you agree not to transmit any worms, viruses, or any code of a destructive nature. You will not attempt to gain unauthorized access to any portion of the Site, other users’ accounts, or any systems or networks related to the Site, through hacking, password mining, or any other means. Probing, scanning, or testing the vulnerability of our systems or breaching security or authentication measures is strictly prohibited.

Misuse of Content: You will not scrape, harvest, or collect information from our Site (whether personal information of other users or our proprietary information) by automated means without our express permission. You will not copy, duplicate, reproduce, sell, trade, or resell any portion of the Site or content provided by Quant Alpha for any commercial purpose, except as explicitly allowed by these Terms. For example, you can’t take our strategy descriptions or algorithm outputs and publish them as your own investment advice service.

Impersonation and False Information: You will not impersonate any person or entity, or falsely state or otherwise misrepresent yourself (including impersonating a Quant Alpha employee or another user). You also agree not to create an account using someone else’s identity or information, or create false profiles.

Disruption: You will not use any device, software, or routine that interferes with the proper working of the Site, or otherwise attempt to interfere with the proper functioning of the Site (including by imposing an unreasonable load on our infrastructure, e.g., via a denial-of-service attack or excessive API calls).

Unauthorized Commercial Use: The Site is for the personal use of our users and clients. You agree not to use the Site for any unauthorized commercial purposes, such as to promote other services, or to distribute unsolicited advertising or spam. You will not use any contact information or user information obtained from the Site (for example, from any community forum, if one exists) to contact users outside of the Site for solicitation or any reason not approved by us.

Reverse Engineering: You must not reverse engineer, decompile, or disassemble any portion of our software or Site, nor attempt to derive the source code or underlying algorithms (except to the limited extent allowed by law for interoperability, and then only after providing us notice and an opportunity to respond).

Content Standards: If at any point our Site allows you to post content (for example, comments or feedback in a community section or profile), you agree that any content you post will not be unlawful, defamatory, harassing, obscene, or otherwise objectionable. However, note that currently our Site does not have public forums or user-generated content sections. In communication with our team or other users, maintain professional and respectful tone. We may terminate accounts that engage in abuse or harassment.
Violating any of the above may result in immediate termination or suspension of your access to the Site, and if applicable, our pursuit of legal remedies. We reserve the right (but not the obligation) to monitor the Site for compliance with these Terms.
7. Intellectual Property Rights
Quant Alpha Content: All content on the Site, including text, graphics, logos, button icons, images, data compilations, software, and any other material (collectively, “Content”), is the property of Quant Alpha or its content suppliers and protected by United States and international copyright, trademark, and other intellectual property laws. The compilation of all content on the Site is the exclusive property of Quant Alpha. The “Quant Alpha” name and logo are trademarks/service marks of Quant Alpha LLC. All rights are reserved.
License to You: Quant Alpha grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal use of the Site and our Content for its intended purposes – i.e., learning about and using our investment services. This license does not allow you to download (other than page caching) or modify any part of the Site, except with express written consent of Quant Alpha. This license strictly prohibits: any resale or commercial use of the Site or Content; any derivative use of the Site or Content; any use of data mining, robots, or similar data gathering and extraction tools (except as maybe provided by our API for authorized uses). You may not reproduce, duplicate, copy, or otherwise exploit any portion of the Site for any commercial purpose without express written permission from us.
User Content: As noted, our Site currently may not allow posting content publicly, but you may submit content to us (e.g., feedback, suggestions, or if any profile info). Any feedback or suggestions you provide about our Services is entirely voluntary, and you agree that Quant Alpha may use such feedback and suggestions without compensation or obligation to you. If you do post or upload any content to the Site (such as comments, testimonials, or other materials, collectively “User Content”), you grant Quant Alpha a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media, subject to our Privacy Policy. You represent that you have the rights to any content you post and that it does not violate the rights of any third party.
Third-Party Content and Links: Our Site may feature some content provided by third parties – for example, stock quotes might be provided by a financial data vendor, or we might display logos of Nasdaq or other indexes under license. All such third-party content is the property of its respective owners and may be protected by intellectual property laws. Use of third-party content may be subject to additional terms from those providers. Also, the Site may contain links to third-party websites or resources (like news articles, broker login pages, or regulatory resources). These links are provided for convenience and informational purposes. Quant Alpha does not endorse, and is not responsible for, any third-party content or websites, including their accuracy, reliability, or any information in them. If you access third-party sites, you do so at your own risk and subject to their terms of use and privacy policies.
Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by Quant Alpha and its licensors. You agree not to display or use any Quant Alpha trademarks (including our logo) in any manner without our prior permission.
If you become aware of any potential copyright, trademark, or other intellectual property infringement involving our Site or Content (for instance, someone scraping our content or our data appearing elsewhere), please notify us. Conversely, if you believe any material on our Site infringes your copyright, you may contact us as set forth in our DMCA policy (if we have one posted) or via the contact information here. We respect intellectual property rights and will address valid notices of infringement.
8. Disclaimer of Warranties
“As Is” and “As Available” Basis: Quant Alpha’s Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis. While we strive to maintain high availability and accuracy, we make no warranty that the Site will be uninterrupted, timely, secure, or error-free. You understand that use of the Site is at your own risk. All Content provided through the Site, including investment recommendations, analyses, or other information, is provided for your use “as is” without any warranty of any kind.
No Warranty on Outcomes: Quant Alpha specifically disclaims any guarantees or warranties that by using our Services you will achieve any particular investment results. Investment outcomes are subject to market forces beyond our control. We do not guarantee that the advisory strategies or any content on the Site is accurate, complete, or suitable for your purposes. Any financial or performance information is hypothetical or historical; future results could differ.
Disclaimed Warranties: To the fullest extent permitted by law, Quant Alpha disclaims all warranties, express or implied, including but not limited to:

Implied Warranties: Any and all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement are disclaimed. For example, we do not warrant that our Service is fit for your specific financial situation – you must determine that. We are also not warranting that the content or tools are free from intellectual property issues, though we certainly aim them to be.

Accuracy and Reliability: We do not warrant the accuracy, reliability or completeness of any information on our Site. We obtain information from sources we believe to be reliable (market data, etc.), but errors can happen. We also may simplify or process data for display. All information and content is provided “as is” without warranty that it is accurate or error-free.

Security: While we implement security measures, we do not warrant that the Site will be free from viruses or other harmful components, or that security breaches will not occur. You should use your own anti-virus software and security precautions.

Third-Party Services: If you interact with any third-party services through our Site (like using IB’s interface), we make no warranties regarding those third-party services. They are outside our control.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our warranties are limited to the minimum extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, Quant Alpha LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. This applies whether or not we were advised of the possibility of such damages, resulting from:

Your use of or inability to use the Site;

Any conduct or content of any third party on the Site (e.g., statements by other users, if any, or third-party data feeds);

Any content obtained from the Site;

Unauthorized access, use or alteration of your transmissions or content;

Any investment losses or decisions made based on information or advice provided on the Site (except to the extent those losses are caused by Quant Alpha’s gross negligence or willful misconduct, in which case see below).
Cap on Liability: In any event, our total cumulative liability to you for any claims arising out of or relating to the Site or Services is limited to the greater of: (a) the total amount of fees you paid to Quant Alpha in the 12 months immediately preceding the event giving rise to the liability, or (b) $500 USD. This limitation applies to all causes of action in the aggregate, including breach of contract, breach of warranty, negligence, strict liability, misrepresentations, or other torts.
Exceptions: We do not exclude or limit our liability for matters that cannot be excluded under law, such as liability for death or personal injury caused by our gross negligence, or fraudulent misrepresentation. Also, the above limitations shall be subject to any specific contractual commitments we make in our Investment Advisory Agreement with clients. For example, as a fiduciary we cannot contract away liability for willful fraud or violation of securities laws. Thus, nothing in these Terms of Use is intended to waive compliance with the Investment Advisers Act or other protective laws. These Terms mainly govern website usage; our liability to clients for professional services will be governed by the advisory contract and applicable law.
State Law Rights: Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not fully apply to you. If you are a resident of a state that provides specific rights or remedies, some of those might remain available to you. In such cases, our liability is limited to the maximum extent permissible under applicable law.
You agree that any claim or cause of action arising out of your use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred, unless a longer period is required by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Quant Alpha LLC and its affiliates, and each of their respective officers, directors, employees, contractors, agents, successors and assigns (the “Quant Alpha Parties”) from and against any and all losses, liabilities, claims, demands, damages, costs or expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

Your use or misuse of the Site or Services, or any Content obtained from the Site;

Your violation of these Terms or any law or regulation;

Your violation of any rights of a third party, including any allegation that any materials you submitted to us infringe or otherwise violate the copyright, trademark, trade secret, privacy, or other personal or proprietary right of any third party;

Any false, misleading, or inaccurate information provided by you (including in setting up your account or in the course of using our Services);

If you are a client, any breach by you of your Investment Advisory Agreement or related account agreements (like with IB).
Quant Alpha reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense, if you are at fault), and you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Quant Alpha. We will use reasonable efforts to notify you of any claim, action or proceeding that is subject to this indemnification upon becoming aware of it.
11. Electronic Communications
By using the Site and providing us with your email address or other contact information, you consent to receive electronic communications from us. These communications may include notices about your account or use of the Services (e.g., account verification, payment receipts, technical notices, updates, security alerts), and are part of your relationship with us. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.
You also consent to receive electronic communications for marketing purposes, such as newsletters or product updates, as described in our Privacy Policy. You can opt out of marketing emails as explained therein, but we may still send you transactional or service-related communications.
If you prefer to receive certain disclosures (like our Form ADV Part 2 brochure) in paper form, you can request that from us, and we will provide it free of charge. However, our service is primarily digital, so communications about day-to-day account matters will be via email or in-app messaging.
12. Termination
By User: You may stop using the Site at any time. If you wish to terminate your user account or, if you are a client, to terminate your advisory relationship, you may do so by following the instructions on the Site or contacting us. Terminating the advisory service will typically require providing written notice as per your Advisory Agreement. Once terminated, your access to the client portions of the Site may be revoked, but note that certain data might remain (for regulatory recordkeeping or backup purposes as described in our Privacy Policy).
By Quant Alpha: We reserve the right to suspend or terminate your access to the Site (or certain functionalities of the Services) at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, to Quant Alpha, to our business partners, or to our rights or those of any other party. For example, if we detect fraudulent activity, or if you harass our staff, or if you attempt to hack the platform, we may terminate your account immediately. For clients, normally we’d not terminate without notice except for egregious violations or required by law, since termination could impact your investments; otherwise we’d give notice according to Advisory Agreement terms.
Effect of Termination: Upon any termination of these Terms:

Your license to use the Site will end, and we may deactivate or delete your account and all associated data (except as retained for legal reasons).

If you are a client, our obligation to provide advisory services will cease (meaning we will stop managing your assets, and you’ll be responsible for handling your investments going forward). We will typically instruct IB to terminate our authority on your account.

Any accrued rights or obligations will survive. Specifically, any fees owed up to termination date must be paid. Our rights to any feedback you provided survive. All provisions of these Terms which by their nature should survive termination (such as indemnities, disclaimers, limitation of liability, governing law, etc.) shall survive.

We will not be liable to you or any third-party for termination of your access to the Site or Services, except to refund any pre-paid fees that were unearned (if applicable).
13. Governing Law and Dispute Resolution
Governing Law: These Terms and any dispute arising out of or related to them or the Site or Services will be governed in all respects by the laws of the State of California and, as applicable, by federal U.S. law (including the federal securities laws for advisory matters), without regard to its conflict of law provisions. If you reside outside of California or the U.S., you agree that California law still applies to the extent not superseded by federal law, and you accept the jurisdiction of California as specified below.
Jurisdiction and Venue: You agree that any dispute or claim arising out of or in connection with these Terms or your use of the Services shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in such courts. You waive any objection based on inconvenient forum (forum non conveniens) or any similar doctrine.
Arbitration Clause: (Optional based on preference – since not specified by user, we can choose whether to include arbitration. For completeness, many terms include an arbitration clause to avoid court. But since not explicitly required, we might or might not include it. We should decide if including an arbitration requirement or not. Possibly yes, as it’s common, but let's include a standard arbitration with opt-out.)
Arbitration Option: At our sole discretion, Quant Alpha may require you to submit any disputes arising from these Terms or use of the Services (including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination) to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law. If we elect arbitration, it will take place in Los Angeles, California, unless you and we mutually agree on another forum. The arbitration shall be conducted by a single arbitrator. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. BY AGREEING TO ARBITRATION, YOU ARE GIVING UP YOUR RIGHT TO GO TO COURT AND HAVE YOUR DISPUTE DECIDED BY A JUDGE OR JURY. However, either party retains the right to seek injunctive or equitable relief in a court of competent jurisdiction to prevent misuse or infringement of intellectual property or confidential information.
Class Action Waiver: To the extent permitted by law, you and Quant Alpha agree that any arbitration or court proceeding shall be conducted on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial or to participate in a class action against the other.
Exception – Small Claims: Notwithstanding the foregoing arbitration clause, either you or Quant Alpha may choose to bring an individual action in small claims court for disputes or claims within the scope of that court’s jurisdiction instead of proceeding with arbitration.
14. Modifications to the Terms and Services
Changes to Terms: Quant Alpha may revise or update these Terms of Use from time to time. We will notify users of material changes by posting the new Terms on the Site and updating the “Last Updated” date above, and for significant changes we may also provide additional notice (e.g., email notification or an in-app alert). By continuing to use the Site after such changes, you agree to be bound by the updated Terms. If you do not agree to the new terms, you should stop using the Site and, if you are a client, inform us that you wish to terminate your agreement (subject to any notice or penalty provisions in the Advisory Agreement).
Changes to Services: We continually improve and evolve our Services. We reserve the right to change, modify, or discontinue any portion of the Site or Services at any time (including adding or removing functionalities, or possibly phasing out the platform entirely if business needs dictate). If any such change materially reduces the Services you are entitled to, we will endeavor to provide you with notice. Your continued use of the Services after any changes indicates acceptance of those changes.
Temporary Suspension: From time to time, we may temporarily suspend access to the Site for maintenance, updates, or to resolve issues. We will try to schedule maintenance during low-usage times and provide advance notice if possible, but we cannot guarantee the Site will always be available. As noted, we are obligated to maintain an operational interactive website by rule, so we strive to minimize downtime. Any suspension or downtime will not terminate these Terms; they remain in effect through such periods.
15. Miscellaneous
Entire Agreement: These Terms of Use (along with the Privacy Policy, Disclosures, and any additional agreements you’ve entered such as the Investment Advisory Agreement) constitute the entire agreement between you and Quant Alpha regarding the use of the Site and Services. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Quant Alpha, with respect to the Site. (However, for clients, the Investment Advisory Agreement remains a separate binding agreement; these Terms primarily address general website usage. We intend for these documents to be read in harmony.)
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court or other tribunal of competent jurisdiction, then such provision shall be eliminated or limited to the minimum extent necessary, and the remainder of these Terms shall remain in full force and effect. In other words, the invalidity of one part does not invalidate the whole agreement.
Waiver: The failure of Quant Alpha to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Quant Alpha.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Quant Alpha may assign its rights and obligations without restriction (for example, in the event of a merger, acquisition or sale of assets, or by operation of law). These Terms will inure to the benefit of and be binding upon the parties and their permitted assigns.
No Third-Party Beneficiaries: These Terms are for the benefit of you and us, and not for any third party. No other person shall have any rights to enforce any term of these Terms.
Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
